Welcome to DocAI Scribe (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the DocAI Scribe mobile application, web application, and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Account Responsibility

  • You must be at least 18 years old to use the Services.
  • If you are a healthcare provider, you represent that you are properly licensed, credentialed, and authorized to practice in your jurisdiction.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. HIPAA & Healthcare Compliance

  • DocAI Scribe is designed to be HIPAA-compliant. We enter into Business Associate Agreements (BAAs) with covered entities and business associates as required by law.
  • You agree to use the Services in compliance with HIPAA, HITECH, and applicable federal and state laws governing healthcare, telehealth, medical billing, and patient privacy.
  • You must not use the Services for any unlawful, fraudulent, or non-clinical purposes.

3. Services Provided

DocAI Scribe provides:

  • AI-Powered Medical Scribe Services (live SOAP notes, real-time documentation).
  • Auto-Generated Medical Codes (MIPS, CPT, ICD-10).
  • AI-Suggested Diagnoses, Care Plans & Medications (for provider review only).
  • Secure Telehealth & Messaging features.
  • Medication Refill & Patient Education Tools.

DocAI Scribe does not practice medicine. AI-generated notes, codes, diagnoses, care plans, and prescriptions are suggestions only and must be reviewed, validated, and confirmed by a licensed healthcare provider before being used in patient care or billing. You (the provider) remain solely responsible for all clinical decisions, billing submissions, and patient care outcomes.

4. User Responsibilities

By using the Services, you agree to:

  • Provide accurate and lawful information.
  • Review, edit, and confirm AI-generated notes and codes before relying on them.
  • Use secure devices and networks when accessing PHI.
  • Respect other users’ privacy and confidentiality.
  • Comply with all licensing, regulatory, and billing rules applicable in your jurisdiction.

5. Prohibited Uses

  • Misuse the Services for non-medical, fraudulent, or illegal purposes.
  • Upload malicious code, attempt to hack, or disrupt system security.
  • Share access credentials with unauthorized users.
  • Use the Services to generate, store, or transmit non-healthcare–related data for unlawful purposes.

6. Intellectual Property

  • All intellectual property in the Services (software, algorithms, branding, UI, etc.) belongs to DocAI Scribe.
  • You may not copy, reverse-engineer, resell, or commercially exploit the Services without written consent.
  • You retain ownership of patient data and content you input into the platform, subject to our Privacy Policy.

7. Data Security & Storage

  • We implement HIPAA-compliant safeguards, encryption, and secure hosting.
  • However, no system is 100% secure. By using the Services, you acknowledge the inherent risks of electronic transmission and storage.
  • You are responsible for maintaining backup copies of your notes and data as required by your practice.

8. Payment & Subscription

  • If the Services are provided on a subscription basis, you agree to pay fees as stated in your subscription plan.
  • Fees are non-refundable unless otherwise required by law.
  • We may suspend or terminate your access for failure to pay.

9. Limitation of Liability

To the maximum extent permitted by law:

  • DocAI Scribe is provided “as is” and “as available” without warranties of any kind.
  • We are not liable for errors, omissions, inaccuracies, or reliance on AI-generated outputs.
  • We are not responsible for medical, billing, or compliance decisions made by providers using the Services.
  • Our total liability for any claim shall not exceed the fees paid for the Services in the preceding 12 months.

10. Indemnification

You agree to indemnify, defend, and hold harmless DocAI Scribe, its officers, employees, and affiliates from any claims, damages, or liabilities arising out of:

  • Your use of the Services,
  • Your failure to comply with these Terms,
  • Any medical, billing, or legal disputes connected to your practice or patients.

11. Termination

We may suspend or terminate your account at any time if you violate these Terms, fail to pay fees, or misuse the Services. Upon termination, your access to PHI will be limited in accordance with HIPAA and applicable retention rules.

12. Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of the State of [Insert State, e.g., Delaware or New York], without regard to conflict of law principles.
  • Any disputes shall be resolved exclusively through binding arbitration in [Insert State/County], except where prohibited by law.
  • Users waive the right to class-action lawsuits or jury trials to the maximum extent permitted.
